Below you will find the terms to help govern this paid ads collaboration, in conjunction with our standard Engagement Agreement.
Please review and accept this agreement by signing electronically below.
Services and Support:
- Brisbane Digital Co strives to provide error-free work at all times. However, we cannot warrant or guarantee increased sales or business performance or any other specific outcomes or provide any guarantee relating to your website rankings or Google Ads conversions. Brisbane Digital Co is also not responsible for any loss of rankings due to algorithm changes implemented by Google.
- In order for Google Ads management services to be provided, we require access to the system and all required materials, assets, information and login details at least five (5) business days before commencement.
- While we absolutely take your business goals and suggested timeframes into account when planning, the exact timing for work to be completed may vary from month to month.
- Brisbane Digital Co reserves the right to utilise expert subcontractors as well as employees as required to provide the services.
Fees and Payments:
- Brisbane Digital Co will manage your ad spend as instructed, however there may be an unavoidable 10% variation in Ad Spend from time to time due to the nature of the Google Ads platform. You are fully responsible for the payment of all Ad Spend and by signing this agreement you accept we are indemnified against any claim with respect to a 10% variation in Ad Spend within one (1) month.
- You agree to keep a valid payment method on file, resolve any payment declines promptly and allow Brisbane Digital Co to share your payment details with third parties if strictly necessary for managing your ad accounts and agree to hold us harmless from any misuse of said payment method, except in case of fraud or wilful misuse.
- We allocate considerable resources for the establishment and initial phases of a Google Ads campaign, including planning, research and design. Therefore, if you terminate this agreement within the first three (3) months (for reasons other than a breach by Brisbane Digital Co), the unpaid balance of three (3) months’ of Management Fees will be due and payable.
Client Expectations:
- You are responsible for notifying us of any changes to your Google Ads Spend budget at least seven (7) days before any expected Ad Spend changes. Unless notified, the account will remain as per the most recently agreed budget.
- You agree to pay any costs of advertising directly to Google and understand it is your responsibility to ensure that such payment is not declined.
- In the event that payment to Google is declined, Brisbane Digital Co is not responsible or liable for account management while advertising campaigns are paused and not showing ads, or for notifying you of the declined payment.
- You acknowledge that Brisbane Digital Co is still entitled to all due Management Fees for managing the account in such circumstances and no deduction or set off will apply.
Termination:
- If you wish to terminate this agreement, please provide 30 days’ written notice.
- When terminating this agreement, you must advise us if you want any existing Google Ads to be paused or remain running. If no instruction is received, the Google Ads will be paused, and Brisbane Digital Co is indemnified against any claim in relation to this.
- You are responsible for removing Brisbane Digital Co from any Google Ads accounts following the termination of this agreement.
